Terms of Sale & Use

These Terms of Sale & Use ("Terms") govern your access to and purchases from the Shark Dental Supply website (the "Site"), operated by Sagi Ratzin, doing business as Shark Dental Supply ("we", "us", "our"). By using the Site or placing an order, you agree to these Terms. If you do not agree, do not use the Site.

1. Who may buy

The Site sells professional dental products and is intended for licensed or otherwise authorized dental professionals and dental practices, purchasing for professional use. By ordering, you represent that you are at least 18 years old and that you (or your practice) hold all licenses, registrations, and authorizations required to purchase, possess, and use the products you order, including any device whose label restricts its sale to a licensed practitioner or on a practitioner's order ("Rx only"). 2. Orders & acceptance

Your order is an offer to buy. We may accept, decline, or limit any order, and may cancel an order after it is placed (for example, for suspected error, fraud, product unavailability, or eligibility). A contract of sale is formed only when we ship the products. We may require additional verification (such as proof of license) before shipping certain items.

3. Pricing & errors

Prices are shown in U.S. dollars and may change at any time. Product descriptions, images, availability, and prices are provided for convenience and may contain errors, inaccuracies, or omissions. We reserve the right to correct any error and to cancel any affected order, even after it is submitted, and to refund amounts already charged. Product images are for identification and may differ from the item shipped.

4. Payment

Payment is processed by our third-party payment processor (Square). We do not receive or store your full card number. You authorize us (through our processor) to charge your payment method for the order total, including applicable shipping and tax.

5. Taxes

We collect sales tax only in states where we are registered to collect and remit it — currently California. Orders shipped to other states are not charged sales tax by us at checkout. Where tax does apply it is estimated from your shipping destination and shown before you pay; rates are estimates and may not reflect every local district rate, so the amount actually due may differ. If your practice is tax-exempt, contact us before ordering to arrange exemption — tax already collected is remitted to the applicable authority and may not be refundable by us. You remain responsible for any use tax or other tax not collected at checkout, which in most states is owed by the purchaser when the seller does not collect it.

6. Shipping, title & risk of loss

We ship within the United States only. Title and risk of loss pass to you upon our delivery of the products to the carrier. See our Shipping Policy and Returns & Refunds Policy.

7. Products supplied by manufacturers & third parties

Products are manufactured by third parties and may be fulfilled through third-party suppliers. Manufacturer instructions for use (IFU), labeling, storage, and safety information control. Brand names, trademarks, and product images are the property of their respective owners and are used only to identify the products offered.

8. Disclaimer of warranties

EXCEPT FOR ANY WARRANTY PROVIDED DIRECTLY BY THE PRODUCT MANUFACTURER, ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, error-free, or secure. Any manufacturer warranty is between you and the manufacturer; we will reasonably assist you in making a warranty claim.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SAGI RATZIN, DOING BUSINESS AS SHARK DENTAL SUPPLY AND ITS OWNERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SITE OR ANY PRODUCT, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

10. Indemnification

You agree to indemnify and hold harmless Sagi Ratzin, doing business as Shark Dental Supply and its owners and employees from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your misuse of a product, your violation of these Terms or applicable law, or your provision of care to any patient.

11. Governing law & disputes

These Terms are governed by the laws of the United States and the State of California, without regard to conflict-of-laws rules. Subject to Section 12, any dispute will be resolved in the state or federal courts located in Santa Clara County, California, and you and we each consent to that jurisdiction and venue. Any claim must be brought within one year after it arises, except where a longer period is required by law. Nothing in these Terms waives any right you have under California consumer-protection law that cannot be waived by agreement.

12. Disputes — arbitration & class-action waiver

Please read this section carefully. It changes how claims between us are resolved. Except for claims that qualify for small-claims court, and except that either of us may seek injunctive relief to protect intellectual property, any dispute arising out of or relating to these Terms or to a purchase will be resolved by binding individual arbitration, before a single arbitrator, administered by a recognized arbitration provider under its consumer or commercial rules, seated in the location described in Section 11.

You and we each give up the right to a jury trial, and each give up the right to bring or take part in a class, collective, or representative action. The arbitrator may not consolidate more than one person's claims or preside over any representative proceeding. If this class-action waiver is held unenforceable as to a particular claim, then that claim — and only that claim — will proceed in court, and the remainder of this Section still applies.

Public injunctive relief is excluded from arbitration. Nothing in this Section prevents you from seeking public injunctive relief, and no part of this Section waives your right to seek it. Any claim for public injunctive relief is severed from arbitration and will be heard by a court of competent jurisdiction in California, with the arbitration of all other claims stayed until that claim is decided.

13. Changes

We may update these Terms at any time. Changes take effect when posted; the order you place is governed by the Terms in effect when you place it.
